VertexMathematics reserves the right to modify this Agreement so long as it provides notice of these changes to you as described below. This Agreement applies to all visitors, users, and others who access or otherwise use the Service ("you" or "Users"). If you open a VertexMathematics account on behalf of a School, company, organization, or other entity, then "you" includes you and that entity.
A note about Student Data: This Service may be purchased by providers of educational services, such as schools, school districts, or teachers (collectively referred to as "Schools") that use our services for educational purposes. When VertexMathematics contracts with a School to provide the Service, we may collect or have access to Student Data (defined below), which may be provided by the School or by the student. We consider such Student Data to be strictly confidential and in general do not use such data for any purpose other than improving and providing our Services to the School or on the school's behalf. Our collection, use and sharing of Student Data is governed by this Agreement and any applicable laws and regulations including, in the U.S., provisions of the Family Educational Rights and Privacy Act ("FERPA"), the Children's Online Privacy Protection Act ("COPPA") and applicable state laws, including without limitation the Illinois Student Online Personal Protection Act (SOPPA).
By using our services, you confirm that you are of legal age to enter into this Agreement or, if you are not, that you have obtained parental or guardian consent to enter this Agreement.
We reserve the right to modify these Terms. We will post the most current version of these Terms at VertexMathematics.com. If a modification meaningfully reduces your rights, we will notify you. By continuing to use or access the services after the modifications come into effect, you agree to be bound by the modified Terms.

Our Services are designed for use by individuals in kindergarten through the fifth grade and their parents, teachers, and tutors. If you are a child under the age of 13, you must have your parent or legal guardian’s permission to use our Services. To view, modify, or delete your child's personal information, please contact us at support@vertexmathematics.com.
To use certain features of our Services, you may need to register for an account. When you register for an account, you may be required to provide us with some information about yourself, such as your email address or other contact information. You agree that the information you provide is accurate and that you will keep it accurate and up-to-date at all times.
The Services allow you to create tasks and reminders. Anything that you upload or otherwise make available on our Services is "User Content." You retain all rights in, and are solely responsible for, the User Content you post to VertexMathematics.

We offer two paid packages: VertexMathematics Premium and VertexMathematics Premium AI. All charges are non-refundable unless provided otherwise in the terms you agree to when you register for a fee-based Service, or as otherwise described in these Terms or decided by us in our sole discretion.
We may terminate your access to and use of the Services, at our sole discretion, at any time and without notice to you. You may cancel your Account at any time by sending an email to us at support@vertexmathematics.com.
We are committed to ensuring that your information is secure. We have implemented measures designed to secure your personal information from accidental loss and unauthorized access, use, alteration, and disclosure.
To the extent permitted by applicable law, VertexMathematics, its officers, directors, employees, and agents will not be liable for any indirect or consequential loss or damage whatever arising out of or in connection with the use of the VertexMathematics.com website.
You agree to defend, indemnify and hold harmless VertexMathematics, its parent corporation, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of and access to the VertexMathematics Services.
These Terms shall be governed by the laws of the State in which VertexMathematics L.L.C. is registered, without respect to its conflict of laws principles.

You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that information presented to you through the Service is protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws. Except as expressly authorized by VertexMathematics, you agree not to copy, modify, rent, lease, loan, sell, distribute, or create derivative works based on the Service or the Software, in whole or in part. Any automated scraping, harvesting, indexing, mining, or any other extraction of any content from the Service is expressly prohibited.
The Service is protected by copyright and other laws in both the United States and elsewhere. Under the terms of this Agreement, it is expressly forbidden to distribute or reproduce the content of the Service or any portion thereof by any means, including but not limited to electronic and print.
VertexMathematics reserves the right to cancel your account without refund if it is determined that you have violated this section of the Agreement.
